All payments for SecureFilePro™ services are due before delivery of service. All subscriptions to the SecureFilePro™ service are subject to Automated Recurring Billing (ARB), by credit card, for purposes of renewal and continuation of service. Drake Software reserves the right to modify this policy at its discretion.
A monthly subscription billing cycle is from the first day to the last day of every month. For monthly subscribers, your authorized credit card will automatically be charged fees on or about the first day of the month. When you first subscribe to the service, you will be charged a prorated amount based on the number of days remaining in the month. An annual subscription billing cycle is from the first day of the first full month of service to the last day of the twelfth full month of service. For annual subscribers, your authorized credit card will be charged the full annual fee when you subscribe to the service. Your billing cycle will start on the first day of the following month.
All prices and terms as they relate to payments, ARB, billing policies, or other payment or billing issues will be subject to change at the discretion of Drake Software. You will be notified 30 days prior to any price changes going into effect.
A service upgrade is defined as any account change that increases your storage capacity.
If you choose to increase the storage capacity of a monthly subscription, the monthly credit card charge and the storage capacity increase will occur at the time of the upgrade request. The monthly credit card charge will be the difference between the new monthly subscription price and the current monthly subscription price.
If you choose to increase the storage capacity of an annual subscription, the credit card charge and the storage capacity increase will occur at the time of the upgrade request. The credit card charge will be the difference between the new annual subscription price and the current annual subscription price divided by the result of dividing 12 by the number of months remaining in the current billing cycle including the month the request is made.
If you choose to change from a monthly subscription to an annual subscription with a larger storage capacity, the credit card charge and the storage capacity increase will occur at the time of the upgrade request. The credit card charge will be the new annual subscription price and your new annual subscription start date for the purposes of billing will be the first day of the following month.
If you choose to downgrade your subscription by either storage capacity or length of subscription, it will be handled as a cancellation of the previous terms and establishment of a new subscription at the now desired storage capacity and/or duration of subscription. The new subscription will begin at the end of the current billing period. In order for the service downgrade by storage capacity to occur, your account storage must be less than or equal to the storage capacity you wish to downgrade to before the start of the next billing cycle.
If you have a monthly subscription and you wish to change to an annual subscription at the same storage capacity, your account change will occur at the start of the next billing cycle. Your credit card will be charged the annual subscription price at the start of the next billing cycle and your annual subscription start date for the purposes of billing will be the start of the next billing cycle. Credit Card Declined — If your credit card is declined, Drake Software will notify you by phone or email. If your account remains unpaid for one monthly billing cycle, your account will be suspended and subject to termination.
When the free trial period expires, you will have 30 days to upgrade to a paid subscription before your account is terminated. If your account is terminated for failing to upgrade to a paid subscription, the subdomain you chose (ex. subdomain.securefilepro.com) will be recycled.
Monthly and annual subscriptions can be cancelled at any time using the form available in the Admin section of the SecureFileProTM website. The cancellation notice, once received and verified, will suspend the subscription at the end of the current billing period. In the event of a cancellation there will be no prorated refunds. You will be responsible for the full subscription payment for the current billing period. If you restore your account before the end of the current billing period, you will not incur any additional charges. If you do not restore your account before the end of the current billing period, your account will be subject to termination. You can restore your account by logging in to your SecureFileProTM account as an administrator, navigating to the account settings screen and choosing the “Restore my account” option.
At the point of termination, your account is completely removed from the system and Drake Software has no obligation to continue storing or providing access to the documents you have uploaded to your account. Drake Software, at its sole discretion, can decide to recycle your account subdomain (ex. subdomain.securefilepro.com).
Subscribers, with a shipping address in IN, SC, SD, TX and WV, will be responsible for paying SecureFilePro™ any State, County, and City Sales Taxes that are applicable to your business. If the shipping address is in any state other than IN, SC, SD, TX, or WV, the subscriber will be responsible to pay any applicable use taxes related to purchases from SecureFilePro™.
